Who can incorporate a OPC in India?

Any natural person, who is a citizen of India whether or not the resident can incorporate a One-Person Company in India

However, it is mandatory for the member of OPC to appoint a person as a nominee.

A natural person can become a member of only a single OPC, and he cannot become nominee in more than one OPC at any point of time.

Feature of One-Person Company

  • Just like any other company, there is no minimum capital required for incorporating a one-person company.
  • OPC can either be
  • Company Limited by shares
  • Company Limited by guarantee
  • Unlimited Company
  • The word ‘One Person Company’ or ‘OPC’ must be mentioned along with the name of the company. For eg XYZ (OPC) Private limited Company.
  • The Name of the nominee should be mentioned in the memorandum of association.
  • OPC is not required to hold annual general meeting.

What are the documents Required for registering a One Person Company?

  • Self-Attested copy of PAN Card
  • Self-Attested copy of Identity Proof

(Anyone of following Voter Card/Passport/Driving License)

  • Recent Passportsize Photograph
  • Self-Attested copy of Residential proof

(Anyone of the following Utility Bills; Electricity Bill, Gas Bill/ Mobile Bill and should not be older than 2 months)

  • Registered Office Address Proof
  • If the property is owned by the Director/Subscriber
  • Utility Bills and NOC from the owner stating that the company can use the property as its registered office.
  • If the property is on Rent or Lease

Utility Bills and duly stamped Rental Agreement/Lease Deed processed under the name of the company.

(NOTE- Utility Bills shall not be older than 2 months from the date of submission)

One Person Company (OPC) Registration Process Online

Name Reservation

The first step for incorporating a one-person company in India is to file application for Name Reservation of the company. This is an important stage for any business as the company is known by its name for a prolonged period and becomes a brand.

Once the name has been decided SPICe+ Part A is filled for reservation of namealong with the fees of Rs1000/-

Filing of eForms

If the name has been approved by the authority, then SPICe+ Part B is filed for incorporation along withAGILE-PRO-S, SPICe MOA, SPICe AOA, INC-9and other relevant attachments.

Payment

Once all the eForms are filed along with the relevant documents, the payment of Rs 131/- must be made for issue of PAN and TAN and Stamp Duty.

(Stamp Duty depends on the authorised share capital and the state where the registered office of the company is situated.)

Issue of Incorporation Certificate

After completing all the formalities, if the ROC is satisfied with all the eForms filed along with the relevant documents by the company. The Department will issue the Certificate of Incorporation.

Ans. Only a natural person who is an Indian citizen shall be eligible to act as a member and nominee of an OPC.The term "resident in India" means a person who has stayed in India for a period of not less than one hundred and twenty days during the immediately preceding one financial year.
